Joint Venture Agreement? Shareholders Agreement? Aren't They the Same?

More often than not, many finds it is so much easier to negotiate and compromise when they are entering a Joint Venture Agreement. We like to call this the "honeymoon stage". So why not have a Shareholders Agreement at the same time for a very simple reason? Pre-planned "break-up" plan is always better than not having one at all.
